Terms of Service

These Terms of Service apply exclusively to businesses and entrepreneurs. By using Linra on behalf of a business, you confirm that you are authorized to bind that business.

1. Scope and contracting party

These terms govern the use of Linra by entrepreneurs acting in the course of their trade, business, or profession. Linra is not offered to consumers. The contracting party is Linra UG (haftungsbeschränkt), Ingolstadt, Germany.

2. Service description

Linra provides a copilot for Shopify and Shopware stores. It can answer customer questions, recommend products, support checkout, perform configured order actions, and report results traced to conversations. The available functions depend on the connected store, permissions, and the current product release.

3. Customer obligations

  • Provide accurate company, store, billing, and content information.
  • Keep access credentials secure and grant only the permissions needed for the service.
  • Ensure that store content and use of Linra comply with applicable law and third-party rights.
  • Review configured actions, limits, and customer-facing information before going live.

4. Outcome-based fees and billing

There is no base fee, minimum commitment, or charge for messages, users, or conversations that produce no billable outcome. Linra charges USD 1.00 for each Billable Support Resolution and USD 1.00 for each Billable Attributed Sale.

A Billable Support Resolution occurs when the copilot completes a configured request or provides a final answer, closes the case without a human handoff, and the case is not reopened within 24 hours. A Billable Attributed Sale occurs when an order is placed within seven days after a Linra conversation and is matched to that conversation by cart attribute, visitor cookie, or customer email, in that order of priority. Each case and each order can be charged at most once. Test, duplicate, fraudulent, cancelled, and fully refunded orders do not qualify.

Prices exclude VAT and other applicable taxes. For Shopify installations, billing requires the customer's approval in Shopify Admin and follows Shopify's billing cycle. Shopify may convert USD charges into the customer's billing currency at its applicable exchange rate. For Shopware installations, the written offer states the USD billing cycle and payment method. Charges accrued before termination remain payable. Every billed outcome links to its source conversation or order. If a documented objection shows that an event did not meet these rules, Linra will arrange the available correction or credit through the original billing channel.

5. Contract formation

The customer can review these terms, the service scope, and the charge before confirming. The contract is formed when the customer accepts the Linra app charge in Shopify Admin or confirms a written Linra offer for a Shopware installation. Linra then confirms the contract electronically. Input errors can be corrected before confirmation. The contract text is made available to the customer electronically.

6. Intellectual property and customer data

Linra retains its rights in the service and software. The customer retains its rights in store content and customer data. The customer grants Linra the rights required to process that content and data solely to provide, secure, and improve the contracted service, subject to the data processing agreement and applicable data-protection law.

7. Availability and product output

Linra is a software service and does not guarantee uninterrupted availability, a particular sales result, or that every generated answer is correct. The customer remains responsible for store policies, product information, legal notices, and decisions that require human review.

8. Liability

Liability is unlimited for intent, gross negligence, injury to life, body, or health, and where mandatory law requires it. For slight negligence affecting an essential contractual obligation, liability is limited to the foreseeable damage typical for this contract. All other liability for slight negligence is excluded.

9. Term and termination

There is no minimum term. Either party may terminate the service at any time, subject to settlement of charges already incurred. The right to terminate for cause remains unaffected.

10. Governing law and venue

German law applies. Where legally permitted for a business customer, the exclusive venue is Ingolstadt, Germany.
